1. Who these terms are between

Virmaline is operated by Wani Consulting OÜ, a private limited company registered in Estonia under registry code 16542861, with its registered address at Pärnu mnt 29, 10119 Tallinn, Estonia. You can reach us at info@virmaline.xyz.

These terms apply to the Virmaline website and application and to every workspace created in it. By creating a workspace, or by using one, you confirm that you act on behalf of a business or other organisation, that you have authority to bind it, and that it agrees to these terms. The service is not offered to consumers. “You” below means that organisation.

2. What the service does

Virmaline finds companies that match the targeting you define, verifies and researches them from public sources, scores them against your ideal-customer profile, identifies business contacts and drafts outreach emails. It can send those emails from a mailbox you connect and show the replies.

Research, scores and drafts are produced by AI models and can contain errors or omissions. They are an aid to your judgement, not a substitute for it. You are responsible for reviewing output before you rely on it or send it, and for any decision you make on the basis of it.

3. Workspaces and accounts

  • You need a verified work email address to create a workspace. Keep your password confidential; everything done with your credentials counts as done by you. Tell us at once if you suspect misuse.
  • You must give accurate information about your business and keep it current.
  • We may refuse, suspend or close a workspace that is created with a disposable address, by automated means, or in breach of these terms.

4. Free allowance, plans and payment

  • Every new workspace receives a one-off free allowance of US$5 of AI usage, measured by the usage meter in the application. It does not renew. When it is used up, lead searches and other AI features pause until a paid plan is in place; your data stays accessible.
  • Paid plans and their included volumes are agreed in writing (an email exchange is enough). Prices shown on the website are indicative launch pricing and not an offer. Unless agreed otherwise, plans are invoiced monthly in euros, exclusive of VAT, and invoices are payable within 14 days.
  • If an invoice is overdue we may suspend the workspace after a written reminder, and statutory late-payment interest applies.
  • We may change the prices of a plan with at least 30 days' notice; the change applies from the next billing period and you may terminate before then.

5. Your responsibilities when contacting prospects

You are the controller of the prospect data the service gathers at your request and of every email you send. You must:

  • have a lawful basis under the GDPR, the ePrivacy rules and the anti-spam laws of each country you contact for the outreach you run, and send it only to business recipients in connection with their professional role;
  • identify yourself truthfully in every email, honour opt-outs and requests not to be contacted, and never use false sender details;
  • respect the terms of your mailbox provider and keep your sending within the volumes it allows;
  • use the service only to research and contact businesses for your own sales and partnerships, not to build or resell contact lists, and not to target individuals in a private capacity;
  • not use the service for anything unlawful, defamatory, deceptive or harassing, and not upload content you have no right to use;
  • not probe, overload, reverse-engineer or copy the service, nor use automated means to extract data from it beyond the features we provide.

We may throttle, pause sending from, or suspend a workspace whose use harms deliverability, other customers or the service, and we will tell you when we do so.

6. Your data and ours

  • You own the knowledge files, lead searches, leads, drafts and messages in your workspace. You grant us the right to store and process them solely to provide, secure and improve the service, in line with our Privacy Policy. We do not train AI models on them and we do not share them between customers.
  • You can export your leads at any time from the application. On request we will sign a data processing agreement that reflects our processor role.
  • The service, its software, prompts, models, designs and documentation belong to us or our licensors. These terms give you a non-exclusive, non-transferable right to use the service while your workspace is active.
  • If you send us feedback or suggestions we may use them without obligation to you.

7. Connected mailboxes and deliverability

Email is sent from a mailbox you connect, under your name and domain. We apply daily caps and a warm-up ramp to protect its reputation, but we cannot guarantee that any email is delivered or read. Keeping your domain's SPF and DMARC records in order is your responsibility, and we show you when they are missing.

8. Availability and changes

Virmaline is a launch-stage product. We work to keep it available and we tell workspace owners about planned downtime, but no uptime level is guaranteed unless a written plan says otherwise. We may add, change or remove features; if a change materially reduces what you pay for, you may terminate and we will refund any prepaid fees for the remaining period.

9. Term and termination

  • You can close your workspace at any time by emailing us. Prepaid fees for the current period are not refunded unless clause 8 applies.
  • We can terminate with 30 days' notice, or immediately if you materially breach these terms, fail to pay after a reminder, or your use creates legal or security risk for us or others.
  • On closure we delete your workspace data within 30 days, except what we must keep for accounting or legal reasons. Ask before closing if you want an export.
  • Clauses 6, 10, 11, 12 and 13 survive termination.

10. Warranties

The service is provided as is. We do not warrant that it is error-free, that research or contact data is accurate or complete, that every prospect exists or is reachable, or that any outreach will produce replies or revenue. Nothing in these terms excludes rights that cannot be excluded under applicable law.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, lost profit, lost business or loss of data, however caused. Our total liability under or in connection with these terms in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim, or EUR 100 for a workspace that has only used the free allowance. These limits do not apply to liability for intent or gross negligence, to death or personal injury, or to anything else that cannot be limited under Estonian law.

12. Indemnity

You will indemnify us against third-party claims, fines and reasonable costs that arise from your outreach, from content you upload, or from your breach of clause 5, except to the extent we caused the loss.

13. Governing law and disputes

These terms are governed by the laws of the Republic of Estonia. Disputes that cannot be settled by discussion are resolved in Harju County Court in Tallinn as the court of first instance. If a translated version of these terms conflicts with the English one, the English version prevails.

14. Changes to these terms and contact

We may update these terms. We will email workspace owners at least 30 days before a material change takes effect; continuing to use the service after that date means you accept the new terms. If a clause is held invalid the rest remains in force. Neither party may assign this agreement without the other's consent, except to a successor of its business with notice. Notices to us go to info@virmaline.xyz or to Wani Consulting OÜ, Pärnu mnt 29, 10119 Tallinn, Estonia.
